摘 要
随着市场经济的发展,民营企业在经济改革浪潮中所占据的地位越来越重要。然而,民营企业,尤其是民营中小企业在内部控制体系上的薄弱严重影响了他们的发展与壮大。而互联网行业中的中小企业,由于行业人员结构年轻,在内部控制体系的构建和沉淀上更为薄弱。本文以一家互联网小型民营企业一~XY公司作为研宂对象,对其内部控制体系的完善和构建进行了具体研宄。
本文首先介绍研究的背景、目的和意义,通过对国内企业内部控制情况的阐述,结合内部控制理论的发展情况和基本方法,总结目前国内中小企业内部控制存在的问题,提出文章的撰写思路与框架。
接下来,本文以XY公司为研宄对象,从经营环境、公司基本情况、公司总体内控现状、公司关键业务内控现状及存在问题四个方面,总结了 XY公司内部控制的现状,并对其存在的问题进行了深入的剖析。特别的,本文针对XY公司所在互联网行业的业务特点,选取了釆购、资产管理、市场、研究开发、财务管理、信息系统管理六个重要的公司业务流程内部控制中存在的缺陷进行了具体的阐述。
进一步的,本文在总结了 XY公司内部控制的关键要素及其缺陷的基础上,利用内部控制框架理论对XY公司的上述六个业务流程设计了具体的内部控制改进,制定出具有实践意义的内控方法。并对改造后的实际执行效果进行了观察和总结。
最后,本文将XY公司的实际做法加以推广,总结了互联网中小企业在内部控制中需要格外关注的要素,希望能为该行业内的中小企业的内部控制建设给出一些有益的建议和参考。

Abstract
With the development of the market economy, the occupied position of private enterprises ismore and more important in the tide of economic reform. However, private enterprises,especially small and medium-sized private enterprises, the weakness of internal controlsystem serious impact on their development and growth. And the small and medium-sizedenterprises in the internet industry, due to the young personnel structure, the construction ofinternal control system and precipitation is much more weak. Based on a small internetprivate enterprise—XY company as the research object, this paper does the specific researchon building and perfecting the internal control system.
This paper first describes the research background, purpose and significance of the article,through to the domestic enterprises internal control situation, combining with thedevelopment of internal control theory and basic methods, summarizes the current internalcontrol problems in domestic enterprises,puts forward the framework of the article.
Then, this paper respectively represents the current situation of XY company internal controlfrom four aspects as the business environment, the company's basic situation, the internalcontrol situation, the key internal control process, and analyzes the existing problems. In thelight of the characteristics of the internet industry, the author selected six important internalcontrol weaknesses just as the procurement, asset management, market, research anddevelopment, financial management and information system management to be described.
Further, based on the summary of the key elements of internal control and its defects,thispaper uses the theory of internal control framework, to reengineer the internal controlbusiness process of XY company's above six specific aspect, to develop a practical methodof internal control, and to analyze and summarize the actual execution effect.
Finally,this paper popularizes the real practice of XY company, summarizes the elementsneed to pay attention to in the internal control for small and medium-sized Internetenterprises, hope to be able to provide some beneficial suggestions and reference for theinternal control construction of small and medium-sized enterprise.
