摘 要
随着资本市场对资金的不断需求，票据成为资本市场必不可少的融资工具之一，而票据质押以其设质方式简便、权利保障充分、安全性高、质权实现快捷等优势成为行使票据权利的一项重要手段。随着经济的发展，票据质押在票据市场也越来越广泛的被应用。但是，现行法律对票据质押的规定极不完善，立法的模糊最终导致司法实践的不确定性，而票据质押作为权利质权的一种，在民法及商法领域均有涉及，正因如此，其存在的问题不仅仅在于制度本身的漏洞，更涉及到票据质押将受何种法律规范的调整。因此，本文首先介绍票据质押制度理论与立法上存在的问题，并对存在争议的各种学说、观点进行权衡，得出票据质押属于票据行为的结论，票据质押应当受到《票据法》的专门调整。在此基础上，本文沿着票据质权的设定、行使、消灭的主线厘清票据质押的制度脉络，力图使该制度不完善之处得到圆满解决。
由于票据质押问题上存在的争议点较多，因此本文在写作过程中的研究方法主要为文献研究法、比较研究法及价值衡量法，通过对不同的学说、文献进行研究，对不同观点进行取舍，同时借助国外特别是大陆法系国家关于票据质押的相关立法规定，为我国的票据质押制度提供借鉴，并对比不同法律关系下该制度存在的价值，找出更加符合该制度生存与发展的法律环境。

Abstract
With the development of capital markets for funds,bill become one of the necessaryfinancing tools in the capital market,and the bill pledge become an important means forexercise of rights by the simple transfer methods,full rights,high safty and realize fast.Withthe development of economy,the bill pledge in China is more and more widely applied.But thelegisiation of our country is not perfect,the conflict between rough existing legistation leads tothe conflicts in judicial practice,however the bill pledge as a pledge of rights are involved incivil law and commercial law,so the problem is not only loopholes in the system,but alsowhich legal adjust the bill pledge.Therefore,this article first to set the system theory and thelegislative problems of bill pledge, balance various theories and controversial issues,thencome to conclusion that the bill pledge belongs to the behavior of negotiable instrument,so thebill pledge should be specially adjusted “negotiable instruments law”.On this basis,this paperalong the bill pledge setting,exercise,elimination of the main system of the bill pledge toclarify the context,and try to make the system imperfections satisfactorily resolved.
Because there are more problems on the issue of bill pledge,therefore,this researchmethod in the process of writing mainly for the research methods of literature,the method ofcomparative study and the method of value measure.Through the study of differenttheories,literatue,to choice of different views.At the same time,with other countries especiallyrelevant legislation about the bill pledge in legislative provisions,provides a reference for ourcountry's bill pledge system,and compare the different legal relationship of value in theexistence of the system,in order to find out the legal environment which more fit for thesurvival and development of the system.
